At TCC, we recognize that different clients have different needs, that different situations require different approaches and schedules. Some clients are looking for a “third leg” upon which to grow their company and desire a comprehensive strategy project to identify and define an appropriate diversification move. Other clients need a simulation of their industry or certain customer segments to improve decision making regarding pricing and capacity. Some clients may have more immediate needs – finding synergies with a potential acquisition target, business turnaround analysis and advice, or support for important contract negotiations. Finally, there are clients who may just want an objective and knowledgeable third party to “pressure test” business plans and annual budgets or to bring an outside perspective to periodic development portfolio reviews.
Because of this diversity in client needs, we have structured our offerings into tailored Custom Projects, Semi-Custom Projects, Corporate Development, Immediate Impact Workshops, and Due Diligence Support.
Custom Projects typically take from several weeks to several months and may encompass the definition of Actionable Strategies to improve business performance or to find new growth; Objective Valuations of development portfolios, technologies, products, business units, or acquisition targets; Market Understanding of an industry or segment, its evolution, structure, trends and drivers, sensitivities, opportunities, and the successful business models for today and in the future; and Business Simulations with predictive forecasts for products, businesses, and industries.
Semi-Custom Projects generally have well defined scopes that follow a template. A 409A valuation is an example of a Semi-Custom Project. Accordingly, Semi-Custom Projects are typically of shorter duration than Custom Projects.
Corporate Development is a retained offering where TCC will augment or become the client’s corporate development function. This offering is designed for clients who want to pursue external growth initiatives (e.g., acquisition, joint venture, alliance, licensing) and desire ongoing help with external relationship building and prospecting, screening unsolicited “opportunities”, due diligence, negotiations, integration, and other strategy implementation activities.
Immediate Impact Workshops are just that, facilitated workshops involving the client’s team that are designed to address specific and immediate needs in the client’s business.
Due Diligence Support: As someone who has led an M&A function and managed international due diligence projects, TCC’s founder understands the intensity, fluidity, immediacy, and other needs of an acquisition effort. As part of Due Diligence Support, TCC provides valuation, simulation, Market Understanding, synergy definition, project leadership, and negotiating support as needed to clients.
Since we have worked in operating companies, we understand the critical importance of working with the client and involving the appropriate members of the client’s organization in our efforts. Involving client personnel both enhances the quality and accuracy of the work product and minimizes the risk associated with the acceptance and implementation of business decisions.
TCC recognizes the importance of implementation and the pressures, both unintentional and not, that slow implementation. TCC is available to participate in, or even lead, periodic (e.g., weekly, biweekly, monthly) implementation project meetings with the client’s team to answer questions and facilitate progress.
As you might expect, we advise clients on sensitive matters that impact people’s lives, stock market valuations, debt ratings, competitive positioning, and customer relationships. Therefore, client confidential information, including client identity, is kept – you guessed it – confidential.
